“Emera and Canadian Utilities Merge to Form $72B Energy Giant”

A new Canadian energy “powerhouse” was set in motion in the previous summer amidst escalating trade tensions with the United States and Ottawa’s push for new infrastructure. Halifax’s Emera Inc. and Calgary’s Canadian Utilities unveiled plans to merge into a $72 billion entity, positioning themselves as one of the largest utilities in North America. Atco Ltd., the controlling shareholder of Canadian Utilities, is shifting its focus to defense, housing, and infrastructure development in remote areas.

The merger discussions began 15 months ago when Emera’s CEO, Scott Balfour, reached out to Atco’s CEO, Nancy Southern, with a vision of creating a strong Canadian energy company. The move aligns with the surging demand for power, particularly from AI data centers and clean energy sources. The newly combined company, operating under the Emera brand, will cater to six million customers across Canada, the United States, Mexico, the Caribbean, and Australia.

Post-merger, Emera plans to invest $32 billion in capital through 2030, with a focus on growth regions like Florida and Alberta. Southern will lead a refocused Atco and co-chair Emera’s board, emphasizing the importance of scaling up to meet the evolving infrastructure needs in the country. The deal will see Emera acquiring Canadian Utilities for $14.3 billion, with Emera shareholders holding 60% and former Atco and Canadian Utilities shareholders owning 40% of the combined utility.

The transaction is subject to shareholder approval and regulatory clearances, with the companies aiming for early next year for the finalization. The merger is seen as a strategic move to create a robust Canadian entity capable of driving growth in the utility sector and supporting the nation’s infrastructure development needs.
